Every week, ReaderLink distributes hundreds of thousands of books to over 100,000 retail outlets. We have six strategically-located distribution centers across the U.S., spanning a total of almost 65 acres. ReaderLink ships as often as daily, using our proprietary freight consolidation and delivery network, or via standard ground shipping. Within two business days, we can reach any retail store in America.

As part of our dedication to quality and efficiency, we use the most modern technology. At our distribution centers, you can find voice-directed picking, radio frequency scanners, high-speed sortation equipment, automated return processing, and sophisticated quality control. Our Six Sigma-based processes ensure that your orders are filled correctly on time, every time.

SMART RETURNS PROCESSING

ReaderLink’s proprietary SMART RETURNS program is a strategic advantage that provides valuable services to publishers.

The program provides publishers the ability to choose between three automatic sorts, Full-Copy Return, Hold for Pickup by Remainder Partner, or Destroy on Site. These sorts can be identified at the title level, allowing publishers the flexibility to choose the appropriate disposition for each title in their catalog. In doing so, the SMART RETURNS program reduces the need for freight back to the publishers, saving money, reducing carbon emissions, and takes unnecessary shipments out of a strained supply-chain. Additionally, SMART RETURNS reduces duplicative publisher handling and processing costs and provides faster, less burdensome, reconciliations.

Title Curation

Our Product Managers, Sales and Category Management teams collaborate with senior-level publisher representatives. We work with over 400 different publishers to review and evaluate thousands of new titles. Together, we discuss release timing, cover art, marketing plans, and other essential elements. This leads to successful sales in our various retail channels. Our goal is to curate the best assortment possible for each storefront.

Our Vendor Managed Inventory (VMI) System technology evaluates title viability based on comparative title Point of Sale (POS) data from individual stores. Product Managers provide adjustments based on current sales trends, media events, format, and other factors. Syndicated data sources, such as Bookscan, the USA Today, and the New York Times bestseller list, are also closely monitored.

Sales Promotion

By coordinating with publishers, ReaderLink supports retailer promotional activity and advertising. We help to develop movie tie-in opportunities, media-driven events, seasonal promotions, and other offerings. In addition, we work with publisher partners to produce winning promotions on behalf of their retail customers. When it comes to ReaderLink Cares, we’ve only just begun. The ReaderLink Cares Volunteer Program recently kicked off in Oak Brook where the team made sandwiches for the homeless and provided support for Misericordia Family Fest in Chicago.

TERMS OF USE AGREEMENT

Welcome to the website of Readerlink Distribution Services, LLC (“Readerlink”, “we”, “us” or “our”). Please read this Terms of Use Agreement (“Agreement”) carefully, as it constitutes a legally binding agreement and applies to your use of (a) www.readerlink.com and all corresponding domains, subdomains, web pages and websites associated therewith (collectively, the “Site”) and (b) any other content, applications, features, functionality, information and services offered by us though the Site (the foregoing subsections (a) and (b) are collectively referred to herein as the “Services”).

1. ACCEPTANCE OF TERMS
This Agreement applies to all users of the Services (“User”, “you” or “your”), whether you are accessing them via a personal computer, a wireless or mobile device or any other IP-enabled technology (each, a “Device”). By using the Services, you acknowledge and agree that (a) you are at least 18 years of age, and (b) you shall comply with this Agreement and any additional terms and conditions that we provide to you in connection with the Services and other products and services we may offer or make available to you (e.g., promotional terms, contest/sweepstakes rules, ecommerce terms, software licenses, social media terms, etc.) (such additional terms and conditions, collectively, “Additional Terms”). Our Privacy Policy (“Privacy Policy”) and the Additional Terms are hereby incorporated into this Agreement by reference as though fully set forth herein. To the extent that there is a conflict between this Agreement and the Additional Terms, the Additional Terms shall govern.

If you are not 18 years old or do not meet any other eligibility requirements set forth herein or in the Additional Terms, or, if for any reason, you do not agree with all of the terms and conditions contained in this Agreement, please discontinue using the Services immediately.

2. TERM AND TERMINATION
This Agreement shall remain in effect while you use the Services. You may terminate your use of or registration for the Services at any time, for any reason, and Readerlink may terminate your use of or registration to the Services at any time for any reason. Even after your use of and/or registration is terminated, your obligations under this Agreement, the Privacy Policy and the Additional Terms, including, without limitation, any indemnifications, warranties and limitations of liability, shall remain in effect.

3. MODIFICATIONS
We may modify this Agreement from time to time and for any reason upon notice to you, which we may give by any means, including, but not limited to, by posting a revised version of this Agreement on or through the Services or sending an e-mail to the e-mail address we have on file for you. Any such changes shall become effective immediately upon notice, and if you use the Services after they become effective it will signify your agreement to be bound by such changes. We recommend that you check back frequently and review this Agreement regularly so you are aware of the most current rights and obligations that apply to you.

4. ELIGIBILITY
By using the Services, you represent, warrant and covenant to Readerlink that you are 18 years of age or older and that you are able to enter into legally binding contracts.

5. PRIVACY
We respect your privacy and the use and protection of your personal information. Our information collection and use policies are set forth in our Privacy Policy. We encourage you to read the Privacy Policy, and to use it to help make informed decisions.

6. OUR OWNERSHIP RIGHTS
A. As between you and Readerlink, Readerlink (and/or its licensors) own all right, title and interest in and to the Services, including, without limitation, all audio/visual content, artwork, photographs, illustrations, graphics, logos, copy, text, computer code, software, music (including the musical compositions therein), data, user interfaces, visual interfaces, information, materials, and all copyrightable or otherwise legally protectable elements of the Services, including, without limitation, the design, selection, sequence, look and feel, and arrangement of the Services, and any copyrights, trademarks, service marks, trade names, trade dress, patent rights, database rights and/or other intellectual property and/or proprietary rights therein (including with respect to any content contained and/or made available in any advertisements or information presented to you via the Services).

B. You further understand and agree that the framing or scraping of or in-line linking to the Services and/or the use of webcrawler, spidering or other automated means to access, copy, index, process and/or store any content made available on or through the Services other than as expressly authorized by us is prohibited. You further agree to abide by exclusionary protocols (e.g., Robot.txt, Automated Content Access Protocol (ACAP), etc.) that may be used in connection with the Services.

7. RULES FOR USE OF THE SERVICES
Subject to compliance with the terms and conditions herein, you may access and use the Services on a non-exclusive, non-transferable basis and only for your personal and non-commercial use and for no other purposes. You are solely responsible for your conduct in connection with the Services.

You must not:

  • alter, delete or conceal any copyright, trademark, service mark or other notices contained on the Services, and/or modify, reverse engineer, decompile or disassemble any part of the Services, whether in whole or in part, or create any derivative works from any part of the Services, or encourage, assist or authorize any other person in doing so;
  • except as expressly authorized by Readerlink and set forth in Additional Terms, you shall not, nor shall you allow any third party (whether or not for your benefit or otherwise) to, reproduce, modify, create derivative works from, display, perform, publish, distribute, disseminate, broadcast or circulate to any third party (including, without limitation, on or via a third-party website or platform), or otherwise use, the Services, including, without limitation, any content therein, without the express, prior written consent of Readerlink or its owner if Readerlink is not the owner;
  • engage in or encourage conduct that (a) would violate any applicable law or violate or infringe upon any intellectual property, proprietary, privacy, moral, publicity or other rights of ours or of any other third party, (b) affects adversely or reflects negatively on Readerlink, its affiliates, the Services, our goodwill, name or reputation or causes duress, distress or discomfort to us or anyone else, and/or (c) discourages any person or entity from using all or any portion, features or functions of the Services, or from advertising, linking or becoming a supplier to us in connection with the Services;
  • modify, disrupt, impair, alter or interfere with the use, features, function, operation or maintenance of the Services or the rights or use or enjoyment of the Services by any other User;
  • circumvent, disable or otherwise interfere with any security-related features of the Services, including, without limitation, any features that enforce limitations on the use of the Services;
  • impersonate any person or entity or falsely state or otherwise represent your affiliation with a person or entity; and/or
  • solicit passwords or personally identifiable information for commercial or unlawful purposes from other Users or engage in spamming, flooding, harvesting of email addresses or other personal information, “spidering”, “screen scraping”, “phishing”, “database scraping”, or any other activity with the purposes of obtaining lists of other Users or other information.

In addition, you shall not submit, post, and/or otherwise make available through the Services any User Content (as such term is defined below) that:

  • you do not have a right to make available under any law, rule or regulation or under contractual or fiduciary relationships (such as inside information, proprietary or confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements), or otherwise creates a security or privacy risk for any other person or entity;
  • contains a software virus, worm, spyware, Trojan horse or other computer code, file or program designed to interrupt, impair, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
  • is or is likely to be unlawful, harmful, threatening, abusive, tortious, defamatory, libelous, deceptive, fraudulent, invasive of another’s privacy or publicity rights, harassing, profane, obscene, vulgar or that contains explicit or graphic imagery, descriptions or accounts of excessive violence or sexual acts (including, without limitation, sexual language of a violent or threatening nature directed at another individual or group of individuals), contains a link to an adult website or is patently offensive, promotes racism, bigotry, hatred or physical harm of any kind against any group or individual; and/or
  • that is or may be construed as in violation of this Agreement, as determined in Readerlink’s sole discretion.

8. THIRD-PARTY SOCIAL MEDIA SERVICES
Readerlink may enable the use of and/or utilize certain social media features and functionality in connection with your use of the Services, including, without limitation, in order to enable you to log in to the Services via third-party online services, such as (but not limited to) Facebook (“Third-Party Social Media Services”). By logging into the Services using account information from a Third-Party Social Media Service or enabling functionality from or engaging in the use of Third-Party Social Media Services as part of your use of the Services, you agree that we may transmit your login credentials and other related information to the providers of Third-Party Social Media Services and may receive other information from such Third-Party Social Media Services regarding you. For more information about our information collection and use policies with respect to the privacy of such information, please see our Privacy Policy.

9. USER CONTENT
A. Readerlink may provide you and other Users with an opportunity to participate in viewing communities and other message, comment and communication features on the Services, including in connection with Third-Party Social Media Services that provide you with the opportunity to submit, post and otherwise make available content, messages and other information via the Services (collectively, “User Content”). You agree that (i) you have no expectation of privacy in any User Content and (ii) no confidential, fiduciary, contractually implied or other relationship is created between you and Readerlink by reason of your transmitting User Content to any area of or in connection with the Services. You agree that all User Content is the sole responsibility of the person from which such User Content is originated. This means that you are solely and entirely responsible for the consequences of all User Content that you submit, upload, post, email, display, transmit or otherwise make available. You may not submit, upload, post, email, display, transmit or otherwise make available any User Content that is or may be construed as in violation of this Agreement, including, without limitation, Section 7 above, and/or that we deem otherwise unacceptable, as determined in Readerlink’s sole discretion.

B. We do not acquire any title or ownership rights in the User Content that you submit and/or make available. After you submit, post, display, transmit or otherwise make available any User Content, you continue to retain any such rights that you may have in such User Content; provided, however, that by submitting, uploading, posting, emailing, displaying, transmitting or otherwise making available any User Content, you grant to Readerlink the unrestricted, worldwide, non-exclusive, irrevocable, perpetual, fully paid-up and royalty-free right and license, in any form or format, on or through any media or medium and with any technology or Devices now known or hereafter developed, in whole or in part, to host, cache, store, maintain, use, reproduce, distribute, display, exhibit, perform, publish, transmit, modify, prepare derivative works of, adapt, reformat, translate, and otherwise exploit all or any portion of your User Content on the Services and any other websites, services, and other distribution platforms, whether currently existing or developed in the future, for any purpose whatsoever without accounting, notification, credit or other obligation to you, and the right to license and sub-license and authorize others to exercise any of the rights granted hereunder to Readerlink, in our sole discretion.

C. You represent, warrant and covenant that (i) you own any and all User Content you make available or otherwise have the right to grant the rights, licenses and privileges described in this Agreement and to perform and comply with all of the requirements set forth herein, and (ii) you hold and shall continue to hold all the ownership, license, proprietary and other rights necessary to enter into, authorize, grant rights and perform your obligations under this Agreement and shall pay for all royalties, fees, and any other monies owing to any person or entity by reason of your User Content.

10. ACCESS TO THE SERVICES; DEVICE REQUIREMENTS; USAGE RULES
A. We reserve the right to withdraw or amend the Services in our sole discretion without notice. We will not be liable if for any reason all or any part of the Services is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Services, or the entire Website, to registered Users and/or otherwise, as we determine in our sole discretion.

B. In order to access and use the Services, you may be required to use Device(s) and other technology meeting certain system, configuration and other requirements established by Readerlink, its content partners, licensors and other third parties, such as platform, storefront and network operators (e.g., Apple, etc.) (collectively, “Operators”), and you are responsible for ensuring that your Device(s) and other technology meet all such requirements. In addition, you are responsible for any data access, network and/or other service rates and charges you may incur in connection with your Device and use of the Services.

C. You further acknowledge and agree that certain Services (in whole or in part), and certain content contained therein, may be accompanied by technology and/or other restrictions (e.g., digital rights management technology, etc.) that protect digital information and content from unauthorized use and access and may limit and restrict your usage of such same in accordance with certain rules and restrictions. You agree to comply with such rules and restrictions at all times, and shall not violate or attempt to violate any security components thereof.

11. NO RESPONSIBILITY TO REVIEW OR MONITOR
Readerlink assumes no responsibility for monitoring the Services for inappropriate content or conduct. If at any time Readerlink chooses in its sole discretion to monitor the Services, Readerlink nonetheless assumes no responsibility for User Content, assumes no obligation to modify or remove any User Content, and no responsibility for the conduct of any User. However, we reserve the right to review any User Content and to delete, remove, move, edit or reject, without notice to you, for any reason or for no reason whatsoever, any User Content, including, without limitation, any User Content that is or may be construed as violating this Agreement, or is deemed to be unacceptable to Readerlink, as determined in Readerlink’s sole discretion; provided, however, that Readerlink shall have no obligation or liability to you or any third party for failure to do so or for doing so in any particular manner. Further, you acknowledge, consent and agree that Readerlink may access, preserve and disclose your account and registration information and any other content or information if required to do so by law or if based on a good faith belief that such access, preservation or disclosure is reasonably necessary to (a) comply with the law or legal process; (b) enforce this Agreement; (c) respond to claims that any content or information violates the rights of any third party; (d) respond to your requests for customer or technical service; or (e) protect the rights, property or personal safety of Readerlink, Users or any third parties including acting in urgent circumstances.

12. DIGITAL MILLENNIUM COPYRIGHT ACT
A. If you are a copyright owner or an agent thereof and believe that any content on the Services infringes upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act by providing our Designated Agent (as set forth below) with the following information in writing (see 17 U.S.C. 512(c)(3) for further details):

  • A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
  • Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works on the Services are covered by a single notification, a representative list of such works on the Services;
  • Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled and information reasonably sufficient to permit us to locate the material;
  • Information reasonably sufficient to permit us to contact you, such as an address, telephone number, and, if applicable, e-mail address;
  • A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent or the law; and
  • A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

B. If you believe that your content (which was removed or to which access was disabled) is non-infringing, or that you have the authorization from the copyright owner, the copyright owner’s agent, or pursuant to applicable law, to make such content available to Readerlink for use on the Services, you may send a counter-notice containing the following information to our Copyright Agent:

  • Your physical or electronic signature;
  • Identification of the content that has been removed or to which access has been disabled and the location at which the content appeared before it was removed or disabled;
  • A statement that you have a good faith belief that the content was removed or disabled as a result of a mistake or a misidentification of the content; and
  • Your name, address, telephone number, and, if applicable, e-mail address, and a statement that you shall accept service of process from the person who provided notification of the alleged infringement.

If a counter-notice is received by our Copyright Agent, Readerlink may send a copy of the counter-notice to the original complaining party informing that person that it may replace the removed content or cease disabling it in 10 business days. Unless the copyright owner files an action seeking a court order against the content provider or the User, the removed content may be replaced, or access to it restored, in 10 to 14 business days or more after receipt of the counter-notice, at Readerlink’s sole discretion.

14. THIRD-PARTY SERVICES
The appearance, availability, or your use of (a) URLs or hyperlinks referenced or included anywhere in connection with the Services or any other form of link or re-direction of your connection to, with or through the Services or (b) any third-party websites, content, data, information, applications, goods, services or materials, including Third-Party Social Media Services (collectively, “Third-Party Services”) does not constitute an endorsement by, nor does it incur any obligation, responsibility or liability on the part of Readerlink, its affiliates or any of their respective successors and assigns, directors, officers, employees, representatives, agents, licensors, Advertisers (as defined below), Operators, suppliers or service providers. We do not verify, endorse, or have any responsibility for Third-Party Services and any third-party business practices (including their privacy policies), whether the Services’ or Readerlink’s logo and/or sponsorship identification is on the Third-Party Services as part of a co-branding or promotional arrangement or otherwise. If any Third-Party Services with which you interact obtains or collects personal information from you, in no event does Readerlink assume or have any responsibility or liability. Accordingly, we encourage you to be aware when you leave the Services and to read the terms and conditions and privacy policy of each Third-Party Service you use.

15. ADVERTISERS
From time to time, you may choose to communicate with, interact with, or obtain Third-Party Services from our advertisers, sponsors, or other promotional partners (collectively, “Advertisers”) found on or through the Services or via a hyperlinked website or platform. All such communication, interaction and participation is strictly and solely between you and such Advertisers and we shall not be responsible or liable to you in any way in connection with these activities or transactions (including any representations, warranties, covenants, contracts or other terms or conditions that may exist between you and the Advertisers or any goods or services you may purchase or obtain from any Advertiser).

16. INDEMNITY
You agree to indemnify, defend and hold harmless Readerlink, its affiliates, and its and their respective directors, officers, members, owners, employees, representatives, agents, licensors, Advertisers, Operators, suppliers, service providers, successors and assigns (collectively, the “Readerlink Parties”) from and against any and all claims, demands, liabilities, damages, losses, costs and expenses (including reasonable attorneys’ fees), arising in any way out of or in connection with (a) your use of (or inability to use) the Services, (b) your breach or violation of this Agreement, (c) your User Content, (d) your violation of the rights of any other User or any third party (including, without limitation, violation of any privacy or intellectual property or other proprietary rights), or (e) your violation of any applicable law or regulation. Readerlink reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you and all negotiations for its settlement or compromise, and you agree to fully cooperate with us upon our request.

17. DISCLAIMER OF WARRANTIES
THE SERVICES, AND ALL CONTENT, PRODUCTS, SERVICES AND USER CONTENT MADE AVAILABLE ON, THROUGH OR IN CONNECTION THEREWITH, ARE PROVIDED BY THE READERLINK PARTIES ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY REPRESENTATION, WARRANTY OR CONDITION OF ANY KIND, EXPRESS OR IMPLIED, OR ANY GUARANTY OR ASSURANCE THAT THEY WILL BE AVAILABLE FOR USE, OR THAT ANY PRODUCTS, FEATURES, FUNCTIONS, SERVICES OR OPERATIONS WILL BE AVAILABLE OR PERFORM AS DESCRIBED. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, THE READERLINK PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES: (A) THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR SATISFACTION; (B) CONCERNING THE AVAILABILITY, ACCURACY, COMPLETENESS, SECURITY, USEFULNESS, TIMELINESS, OR INFORMATIONAL CONTENT OF SERVICES; (C) OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE; (D) FOR PRODUCTS OR SERVICES RECEIVED THROUGH OR ADVERTISED ON THE SERVICES; (E) THAT YOUR USE OF THE SERVICES WILL BE SECURE OR UNINTERRUPTED; AND (F) THAT THE SERVICES WILL BE ERROR-FREE OR THAT ERRORS IN THE SERVICES WILL BE CORRECTED. WITHOUT LIMITING THE FOREGOING, WE ARE NOT RESPONSIBLE OR LIABLE FOR ANY MALICIOUS CODE, DELAYS, INACCURACIES, ERRORS, OR OMISSIONS ARISING OUT OF YOUR USE OF THE SERVICES. YOU UNDERSTAND, ACKNOWLEDGE AND AGREE THAT YOU ARE ASSUMING THE ENTIRE RISK AS TO THE QUALITY, ACCURACY, PERFORMANCE, TIMELINESS, ADEQUACY, COMPLETENESS, CORRECTNESS, AUTHENTICITY, SECURITY AND VALIDITY OF ANY AND ALL FEATURES AND FUNCTIONS OF THE SERVICES, INCLUDING, WITHOUT LIMITATION, USER CONTENT ASSOCIATED WITH YOUR USE OF THE SERVICES. YOU FURTHER UNDERSTAND AND ACKNOWLEDGE THE CAPACITY OF THE SERVICES, IN THE AGGREGATE AND FOR EACH USER, IS LIMITED. CONSEQUENTLY, SOME MESSAGES AND TRANSMISSIONS MAY NOT BE PROCESSED IN A TIMELY FASHION OR AT ALL, AND SOME FEATURES OR FUNCTIONS MAY BE RESTRICTED OR DELAYED OR BECOME COMPLETELY INOPERABLE. AS A RESULT, YOU ACKNOWLEDGE AND AGREE THAT READERLINK ASSUMES NO LIABILITY, RESPONSIBILITY OR OBLIGATION TO TRANSMIT, PROCESS, STORE, RECEIVE OR DELIVER TRANSACTIONS AND YOU ARE HEREBY EXPRESSLY ADVISED NOT TO RELY UPON THE TIMELINESS OR PERFORMANCE OF THE SERVICES FOR ANY TRANSACTIONS.

18. LIMITATION OF LIABILITY
YOU UNDERSTAND AND AGREE THAT, TO THE FULLEST EXTENT PERMISSIBLE BY LAW, THE READERLINK PARTIES SHALL NOT BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY LOSS OR DAMAGE OF ANY KIND, DIRECT OR INDIRECT, WHETHER SOUNDING IN TORT, BREACH OF CONTRACT, OR OTHER LEGAL THEORY, IN CONNECTION WITH OR ARISING FROM USE OF THE SERVICES OR FROM THIS AGREEMENT, INCLUDING, WITHOUT LIMITATION, COMPENSATORY, CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL OR PUNITIVE DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, LOSS OF USE, BUSINESS INTERRUPTION, DATA LOSS OR OTHER INTANGIBLE LOSSES (EVEN IF THE READERLINK PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY OR EXCLUSION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE PROVISIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY THE LAW.

19. ARBITRATION AND DISPUTE RESOLUTION AGREEMENT
PLEASE READ THIS SECTION CAREFULLY – IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING, BUT NOT LIMITED TO, YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You agree that any dispute, claim, or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation or validity thereof, or the use of the Services or any content, products or services provided on or through the Services (collectively, “Disputes”), will be resolved exclusively by final, binding arbitration between you and Readerlink, except that each party retains the right to bring an individual action in small claims court and the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents or other intellectual property rights, or where a party’s conduct may cause the other irreparable injury. The provisions of this section constitute the parties’ written agreement to arbitrate Disputes under the Federal Arbitration Act.

The arbitration shall be administered by the Judicial Arbitration & Mediation Services (“JAMS”) and shall be heard by a single arbitrator, pursuant to the Arbitration Rules and Procedures then in effect (the “JAMS Rules”), except as modified by this section.

To begin an arbitration proceeding, a party must submit the Dispute by making a demand for arbitration, as detailed at https://www.jamsadr.com/, and simultaneously send a copy of the completed demand to the other party. Payment of all filing, administration and arbitrator fees will be governed by the JAMS rules. The arbitration will be conducted based upon written submissions, unless you request and/or the arbitrator determines that a telephone or in-person hearing is necessary. If the arbitrator grants the request or determines that an in-person hearing is necessary, the hearing will proceed in Cook County, Illinois, unless the arbitrator determines or Readerlink agrees that the matter should proceed in the county where you reside.

The arbitrator will apply and be bound by this Agreement, apply applicable law and the facts, and issue a reasoned award within the time frame specified in the JAMS Rules. The arbitrator’s decision will include the essential findings and conclusions upon which the arbitrator based the award. Judgment on the arbitration award may be entered in any court having jurisdiction thereof. The arbitrator’s award must be consistent with the terms of the “Limitation of Liability” section above as to the types and the amounts of damages for which a party may be held liable. You and Readerlink also agree that the arbitrator may not award multiple or punitive damages. The arbitrator may award declaratory or injunctive relief only in favor of the claimant and only to the extent necessary to provide relief warranted by the claimant’s individual claim.

EACH PARTY AGREES THAT IT SHALL BRING ANY DISPUTE AGAINST THE OTHER PARTY IN ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE PROCEEDING, OR AS AN ASSOCIATION. IN ADDITION, EACH PARTY AGREES THAT DISPUTES SHALL BE ARBITRATED ONLY ON AN INDIVIDUAL BASIS, AND NOT IN A CLASS, CONSOLIDATED OR REPRESENTATIVE ACTION. THE ARBITRATOR DOES NOT HAVE THE POWER TO VARY THESE PROVISIONS.

20. GOVERNING LAW AND JURISDICTION
This Agreement and your use of the Services is governed by, construed and enforced in accordance with the internal substantive laws of the State of Illinois (notwithstanding the State’s conflict of laws provisions) applicable to contracts made, executed and wholly performed in Illinois, and, if for any reason a Dispute proceeds in court, you specifically agree and submit to the exclusive jurisdiction and venue of the State and Federal Courts situated in Illinois and agree you shall not object to such jurisdiction or venue on the grounds of lack of personal jurisdiction, forum non conveniens or otherwise. IN ANY ACTION OR PROCEEDING COMMENCED TO ENFORCE ANY RIGHT OR OBLIGATION OF THE PARTIES UNDER THIS AGREEMENT, REGARDING YOUR USE OF THE SERVICES OR WITH RESPECT TO THE SUBJECT MATTER HEREOF, YOU HEREBY WAIVE ANY RIGHT YOU MAY NOW HAVE OR HEREAFTER POSSESS TO A TRIAL BY JURY.

21. LIMITATION ON TIME TO FILE CLAIMS
ANY PROVISION WHICH MUST SURVIVE IN ORDER TO ALLOW US TO ENFORCE ITS MEANING SHALL SURVIVE THE TERMINATION OF THIS AGREEMENT; HOWEVER, NO ACTION ARISING OUT OF THIS AGREEMENT AND/OR THE SERVICES, REGARDLESS OF FORM OR THE BASIS OF THE CLAIM, MAY BE BROUGHT BY YOU MORE THAN ONE YEAR AFTER THE CAUSE OF ACTION HAS ARISEN (OR IF MULTIPLE CAUSES, FROM THE DATE THE FIRST SUCH CAUSE AROSE).

22. JURISDICTIONAL ISSUES; EXPORT CONTROL
The Services are controlled and operated by Readerlink from its offices in the U.S. Readerlink makes no representation that the Services are appropriate or available for use outside the U.S. Those who choose to access the Services from other locations do so at their own risk and are responsible for compliance with any and all local laws, rules and regulations, if and to the extent local laws, rules and regulations are applicable. No software made available in connection with the Services may be downloaded, exported or re-exported into (or to a national or resident of) any countries that are subject to U.S. export restrictions.

23. MISCELLANEOUS
This Agreement contains the entire understanding and agreement between you and Readerlink concerning the Services and supersedes any and all prior or inconsistent understandings relating to the Services and your use thereof. Our electronically or otherwise properly stored copy of this Agreement will be deemed to be the true, complete, valid, authentic, and enforceable copy, and you agree that you will not contest the admissibility or enforceability of our copy of this Agreement in connection with any action or proceeding arising out of or relating to this Agreement. This Agreement does not confer any rights, remedies, or benefits upon any person other than Readerlink and you. If any provision of this Agreement is held to be illegal, invalid or unenforceable, this shall not affect any other provisions and this Agreement shall be deemed amended to the extent necessary to make it legal, valid and enforceable. The terms “include,” “includes,” and “including,” whether or not capitalized, mean “include, but are not limited to,” “includes, but is not limited to,” and “including, but not limited to,” respectively and are to be construed as inclusive, not exclusive. The failure of Readerlink to exercise or enforce any right or provision of this Agreement will not operate as a waiver of such right or provision. This Agreement, and any rights, licenses and privileges granted herein, may not be transferred or assigned by you, but may be assigned or transferred by Readerlink without restriction, notice or other obligation to you.

This Agreement was last modified on the date indicated above and is effective immediately.

Readerlink Distribution Services, LLC and its divisions, subsidiaries and affiliates (individually and/or collectively referred to as “Readerlink”, “we”, “us” or “our”) wants you to be familiar with how we collect, use and disclose information about you (“Information”). We may receive information from the applicable provider of the Third-Party Service that you have consented be shared. Such information may include, for example, your first and last name, gender, your physical location and that of your Devices, your date of birth, certain profile information, your public ID on or associated with the Third-Party Service, profile page URL and e-mail address. We will, as reasonably practicable (e.g., by implementing a compatible disclosure feature offered by the Third Party Service, etc.), disclose what information we collect from the Third-Party Services when you connect the Services to the Third-Party Service. In addition, we may receive information from the provider of that Third-Party Service about you or your use of the website within that Third-Party Service. We may associate the information obtained through these technologies with other information we may collect about you so that we can, among other things, better customize your experience using the Services and/or the advertisements and promotions you see.   • Information from Other Sources. We may collect information from other sources, such as publicly available information from commercially available sources and information from our affiliates or business partners.

3. THIRD-PARTY ADVERTISING/ANALYTICS SERVICE PROVIDERS

We may also use a variety of third-party advertising networks, data exchanges, traffic measurement service providers, marketing analytics service providers and other third parties (collectively, “Third-Party Advertising/Analytics Service Providers“) to, for example, serve advertisements on our website, facilitate targeting of advertisements and measure and analyze advertising effectiveness and traffic on the Services. Readerlink does not control these Third-Party Advertising/Analytics Service Providers, and/or their use of tracking technologies, which is instead governed by the privacy policies of any such Third-Party Advertising Service Provider. 4. HOW WE MAY USE AND DISCLOSE YOUR INFORMATION

  • To protect the rights of Readerlink and others: We may disclose your Information where necessary in order to: (i) protect, enforce, or defend the legal rights, privacy, safety, or property of Readerlink and our affiliates and their respective employees, agents and contractors (including enforcement of our agreements and our Terms of Use Agreement); (ii) protect the safety, privacy, and security of Users of our Website or members of the public; (iii) protect against fraud or for risk management purposes; (iv) comply with the law or legal process; and/or (v) respond to requests from public and government authorities.
  • To complete a merger or sale of assets: If Readerlink sells all or part of its business or makes a sale or transfer of its assets or is otherwise involved in a merger or transfer of all or a material part of its business, we may transfer your Information to the party or parties involved in the transaction as part of that transaction.
  • For other purposes for which you provide your consent. We may use your information for other purposes which are disclosed to you at the time your information is collected or for purposes which can be inferred from or are obvious, given the circumstances of collection.  For example, if you give us your Personal Information when entering a contest we will use that information to facilitate your participation in that contest.

  • Receiving electronic communications (Email) from us: If you no longer want to receive marketing-related emails from us on a going-forward basis, you may opt-out of receiving these marketing-related emails by (a) changing or editing your preferences of your User account using the User account settings (as described above), (b) contacting us via email in accordance with the procedure set forth above, and/or (c) using the opt-out mechanism (“Unsubscribe from this list” link) that appears at the bottom of such emails. Please note that there are certain service notification emails that you may not opt-out of, such as emails regarding your transactions with us.

For example, we use Google Analytics to help us analyse how visitors use our Website. The information generated by the cookie, including your IP address, is transmitted to Google. This information is then used to evaluate visitors’ use of the Website and to compile statistical reports on Website activity for us. We do not use the statistical analytics tool to track visitors to our Website. 7. DATA COLLECTION FROM CHILDREN

Our Services are not directed to persons under 16 years of age. We do not knowingly collect Personal Information from children under 16, and if we become aware that a child under 16 has provided us with Personal Information, we will take steps to remove such information and/or terminate the child’s User account (if any).

8. SECURITY

While no data transmission over the Internet is 100% secure from intrusion, we maintain commercially reasonable physical, electronic and procedural safeguards to protect your Information. However, regardless of our efforts, it is possible that third parties may unlawfully intercept or access transmissions or private communications over an unsecured transmission. We also limit access to the Services by our own employees, contractors, service providers and those individuals who are authorized for the proper handling of such information. We require that our third-party contractors and service providers follow similar standards of security and confidentiality. However, regardless of our efforts, no one can guarantee the complete safety of your Information.

9. DATA RETENTION

We will retain your Information for the period necessary to fulfill the purposes outlined in this Privacy Policy unless a longer retention period is required or allowed by law. Please be aware that even after you cancel your User account, copies of certain Information from your User account may remain viewable under certain circumstances. Because of the nature of caching technology, your User account may not be instantly inaccessible to others. We may also retain backup information related to your User account on our servers for some time after cancellation for fraud detection or to comply with applicable law or our internal security policies. Further, it is not always possible to completely remove or delete all of your Information due to technical constraints, contractual, financial or legal requirements.

Readerlink has not sold consumers’ personal information in the twelve (12) months preceding the Effective Date of this Policy.

If you are a California resident, pursuant to the CCPA, you have the right to request:

  • the categories of personal information Readerlink has collected about you;
  • the categories of sources from which your personal information is collected;
  • the business or commercial purpose of collecting or selling your personal information;
  • the categories of third parties with whom Readerlink shares your personal information;
  • the specific pieces of personal information Readerlink has collected about you;
  • the categories of personal information that Readerlink has sold about you and the categories of third parties to whom the personal information was sold, if applicable;

To verify your identity when you submit a request, Readerlink will match the identifying information you provide us to the personal information we have about you. If you have a User account with us, we will also verify your identity through our existing authentication practices for your User account. If necessary, we may ask you to provide additional information for verification or ask for your oral confirmation regarding your request. Requests will typically be honored within forty-five (45) days or less, but may take up to ninety (90) days based on the results of verification.

However, Readerlink will not be required to comply with your request to delete your personal information if it is necessary for Readerlink to maintain your personal information in order to:

  • complete the transaction for which the personal information was collected, provide a good or service requested by you, or reasonably anticipated within the context of Readerlink’s ongoing business relationship with you, or otherwise perform a contract between you and Readerlink;
  • detect security incidents, protect against malicious, deceptive, fraudulent, or illegal activity; or prosecute those responsible for that activity;
  • debug to identify and repair errors that impair existing intended functionality;
  • exercise free speech, ensure the right of another consumer to exercise his or her right of free speech, or exercise another right provided for by law;
  • comply with the California Electronic Communications Privacy Act pursuant to Chapter 3.6 (commencing with Section 1546) of Title 12 of Part 2 of the Penal Code;
  • engage in public or peer-reviewed scientific, historical, or statistical research in the public interest that adheres to all other applicable ethics and privacy laws, when Readerlink’s deletion of the information is likely to render impossible or seriously impair the achievement of such research, if you have provided informed consent;
  • to enable solely internal uses that are reasonably aligned with your expectations based on your relationship with Readerlink;
  • comply with a legal obligation; or
  • otherwise use your personal information, internally, in a lawful manner that is compatible with the context in which you provided the information.

Readerlink will not discriminate against you in the event you exercise any of the aforementioned rights under CCPA, including, without limitation, by:

  • denying goods or services to you;
  • charging different prices or rates for goods or services, including through the use of discounts or other benefits or imposing penalties;
  • providing a different level or quality of goods or services to you; or
  • suggesting that you will receive a different price or rate for goods or services or a different level or quality of goods or services.

Under California Civil Code Section 1798.83, individual customers who reside in California and who have an existing business relationship with us may request information about our disclosure of certain categories of Personal Information to third parties for the third parties’ direct marketing purposes, if any.

In your request, please attest to the fact that you are a California resident and provide a current California address for our response. Please be aware that not all information sharing is covered by these California privacy rights requirements and only information on covered sharing will be included in our response. This request may be made no more than once per calendar year.

11. YOUR NEVADA PRIVACY RIGHTS

We do not currently sell your covered information as those terms are defined under applicable Nevada law. However, you may still submit an opt-out request and we will honor that request as required by Nevada law if we were to ever engage in such a sale in the future. If you are a Nevada resident and would like to opt-out of future sales of your covered information, please contact us privacy@readerlink.com. Your request must include your full name, street address, city, state, zip code, and an e-mail address so that we can contact you if needed regarding this request. You may also be required to take reasonable steps as we determine from time to time in order to verify your identity and/or the authenticity of the request. We will respond to your request within 60 days either confirming that your request has been processed or indicating that we need an additional 30 days to complete the request.

Readerlink is not responsible for the privacy practices of such other websites, platforms, or other services operated by third parties that are linked to or integrated with our Website or for the privacy practices of Third-Party Online Advertising Services. Once you leave our Website via such a link to access a third-party application or click on an advertisement, you should check the applicable privacy policy of the third party to determine, among other things, how they will handle any personally identifiable or other information that they may collect from you.

We may modify this Privacy Policy from time to time to reflect industry initiatives, changes in the law or technology, or changes in our practices regarding information collection and use.
